These Terms of Service ("Terms") govern your use of the CICADA IR platform and services ("Service") provided by A.C.N. 695 927 210 Pty Ltd (ABN 27 695 927 210), trading as CICADA IR ("Company", "we", "us").
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
CICADA IR provides an AI-powered cybersecurity incident response platform delivered as a virtual machine appliance. The Service includes software, documentation, and related support services based on your subscription tier.
3. Account & Subscriptions
- You are responsible for maintaining the security of your account and license key.
- Paid subscriptions renew automatically unless canceled prior to the renewal date.
- Refund requests are handled on a case-by-case basis within 30 days of purchase.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service to conduct unauthorized access to third-party systems
- Attempt to circumvent license restrictions or usage limits
- Share access credentials or license keys with unauthorized parties
5. Data & Privacy
CICADA IR processes investigation data locally within your deployed VM. We do not collect, store, or transmit your investigation data to our servers. For details on what personal information we collect and how we handle it, please refer to our Privacy Policy.
6. Availability & Support
We strive to provide reliable access to downloads and licensing services but do not guarantee uninterrupted availability. Support response times depend on your subscription tier.
7. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee or right or remedy you may have under the Competition and Consumer Act 2010 (Cth), the Australian Consumer Law, or any other applicable Australian legislation that cannot be excluded by agreement.
8. Limitation of Liability
Subject to Section 7, to the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
9. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of New South Wales and any courts entitled to hear appeals therefrom.
